Terms of Service

The agreement that governs your access to and use of the Help.Fast platform, including voice services, billing, and AI-assisted features.

These Terms of Service ("Terms," "Agreement") constitute a legally binding contract between you ("User," "you," "your") and Help.Fast, Inc. ("Help.Fast," "Company," "we," "us," "our") governing your access to and use of the Help.Fast platform, website, applications, APIs, voice services, messaging services, AI-assisted features, payment processing services, invoicing tools, and all related services (collectively, the "Platform" or "Services"). By accessing, registering for, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms in their entirety, you must not access or use the Services.

1. Definitions

"Provider" means any service provider organization, trade contractor, dispatcher, or business entity that uses the Platform to receive, manage, route, or respond to service calls. "Caller" means any individual who initiates contact with the Platform through a voice call, SMS, or web intake flow. "Sponsor Account" or "Client Account" means any organization, property manager, facility owner, or enterprise customer that has agreed to receive invoices and bear financial responsibility for service calls processed through the Platform on its behalf. "Job" means any service request, dispatch event, callback request, or triage case created on the Platform. "Content" means any data, text, audio recordings, transcriptions, images, files, or other material uploaded to, generated by, or transmitted through the Platform. "AI Features" means any artificial intelligence, machine learning, automated classification, transcription, extraction, summarization, or natural language processing capabilities provided through the Platform.

2. Eligibility and Account Registration

You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is greater, to use the Services. By using the Services, you represent and warrant that you meet this requirement. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" and "your" shall refer to both you individually and the organization.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify Help.Fast of any unauthorized use of your account or any other breach of security. Help.Fast will not be liable for any loss or damage arising from your failure to comply with this obligation.

3. Platform Role and Disclaimers

3.1 Help.Fast Is a Technology Platform

Help.Fast provides technology tools for after-hours service call intake, triage, routing, documentation, payment processing, and invoicing. Help.Fast is not a service provider, contractor, emergency service, plumber, electrician, HVAC technician, locksmith, restoration company, or any other trade professional. Help.Fast does not perform, guarantee, supervise, or take responsibility for any service work performed by Providers or their personnel.

3.2 No Emergency Services

THE PLATFORM IS NOT A SUBSTITUTE FOR 911, EMERGENCY SERVICES, OR ANY GOVERNMENT EMERGENCY RESPONSE SYSTEM. IF YOU ARE EXPERIENCING A LIFE-THREATENING EMERGENCY, A GAS LEAK, A FIRE, A MEDICAL EMERGENCY, OR ANY SITUATION REQUIRING IMMEDIATE EMERGENCY RESPONSE, YOU MUST CALL 911 OR YOUR LOCAL EMERGENCY SERVICES IMMEDIATELY. HELP.FAST MAKES NO REPRESENTATION THAT THE PLATFORM WILL BE AVAILABLE, FUNCTIONAL, OR RESPONSIVE IN ANY EMERGENCY SITUATION AND SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY FAILURE TO CONNECT YOU WITH EMERGENCY SERVICES.

3.3 No Guarantee of Provider Response

Help.Fast does not guarantee that any Provider will accept, respond to, arrive for, or complete any service request. Dispatch, routing, and callback functions are subject to Provider availability, configuration, business rules, and operational capacity. Help.Fast shall have no liability for any Provider's failure to respond, for any delay in response, or for the quality, safety, legality, or outcome of any work performed.

3.4 No Professional Advice

Nothing on the Platform constitutes professional, legal, financial, medical, or safety advice. AI-generated triage classifications, routing suggestions, urgency assessments, and follow-up questions are automated outputs and are not a substitute for professional judgment. You should not rely solely on any Platform output to make safety-critical, financial, or legal decisions.

4. Electronic Communications Consent

By using the Services, you consent to receive electronic communications from Help.Fast, including emails, SMS messages, push notifications, in-app notifications, and automated voice messages. You agree that all agreements, notices, disclosures, and other communications that Help.Fast provides to you electronically satisfy any legal requirement that such communications be in writing. You further consent to receive automated and pre-recorded voice calls, automated text messages, and other automated communications at the telephone number(s) you provide to us, including for transactional, operational, and service-related purposes. You understand that your consent to receive automated communications is not a condition of purchasing any goods or services. Message and data rates may apply. You may opt out of non-essential marketing communications at any time, but you may not opt out of transactional or operational communications required for the functioning of the Services while you maintain an active account.

5. SMS and Telephony Consent (TCPA)

By providing your phone number to Help.Fast or initiating contact through the Platform, you expressly consent to receive calls and text messages from Help.Fast, its automated systems, and its service providers, including calls and texts made using an automatic telephone dialing system or prerecorded or artificial voice, at the phone number(s) you provide, for purposes including but not limited to: service call confirmations, dispatch notifications, callback requests, payment authorizations, invoice notifications, account alerts, and platform status updates. This consent applies regardless of whether the phone number is on any state or federal do-not-call list. You may revoke your consent to receive non-essential SMS messages at any time by texting STOP to any message received from Help.Fast. Revoking consent to essential operational messages may require termination of your account or cessation of use of the Services.

6. Acceptable Use

You agree not to:

  • Use the Services for any unlawful, fraudulent, or abusive purpose.
  • Submit false, misleading, or fabricated service requests.
  • Attempt to circumvent payment, billing, or authentication controls.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Platform or its infrastructure.
  • Use the Services to harass, threaten, or abuse any Provider, Caller, or Help.Fast personnel.
  • Reverse-engineer, decompile, disassemble, or create derivative works from any part of the Platform.
  • Scrape, harvest, or collect data from the Platform by automated means without prior written consent.
  • Use the Platform to transmit malware, viruses, or other harmful code.
  • Resell, sublicense, or redistribute access to the Platform without authorization.
  • Violate any applicable local, state, national, or international law or regulation.
  • Use AI Features to generate content that is defamatory, infringing, obscene, or illegal.
  • Manipulate or attempt to manipulate AI classification, triage, or routing systems.

Help.Fast reserves the right to suspend or terminate your access immediately and without notice for any violation of these Terms, and to pursue any legal remedies available.

7. Call Recording, Transcription, and AI Processing

7.1 Recording Disclosure

Calls processed through the Platform may be recorded, transcribed, and analyzed. By using the Platform, you consent to the recording, transcription, storage, and processing of all voice interactions. Callers will be notified of recording at the start of each interaction through an automated disclosure. Continued participation in a call after the recording disclosure constitutes consent to recording and transcription.

7.2 AI-Assisted Processing

The Platform uses artificial intelligence and machine learning for call transcription, issue classification, urgency assessment, symptom tagging, risk flagging, follow-up question generation, report drafting, and other automated processing. AI outputs are probabilistic, may contain errors, and are not guaranteed to be accurate, complete, or suitable for any particular purpose. Help.Fast disclaims all liability for errors, omissions, or inaccuracies in AI-generated outputs.

7.3 Human Review

Certain interactions may be reviewed by Help.Fast operations personnel, quality assurance staff, or authorized Provider personnel for purposes including but not limited to quality control, dispute resolution, training, safety compliance, and fraud prevention.

8. Payment, Billing, and Financial Terms

8.1 Platform Subscription Fees

Providers subscribe to the Platform under a plan that includes a base subscription fee and usage-based charges for voice minutes, AI processing, SMS, service numbers, and other metered items. All fees are as stated in your plan agreement and are subject to change with thirty (30) days' written notice. Fees are non-refundable except as expressly stated.

8.2 Caller Payment

Where the Platform is configured to collect payment from Callers, payment authorization and capture are processed through Stripe. By submitting payment information, Callers authorize Help.Fast to charge their payment method for the amounts disclosed. Help.Fast acts as an intermediary in processing Caller payments and is not responsible for the underlying service quality or delivery.

8.3 Funds Orchestration

Help.Fast processes Caller payments, withholds platform fees, and remits net proceeds to Providers on scheduled batches. Help.Fast may hold funds in reserve as necessary for dispute resolution, chargebacks, refunds, or regulatory compliance. Provider remittance schedules are described in the applicable plan agreement and are subject to these Terms.

8.4 Sponsor-Account Invoicing

Client Accounts that receive sponsor-billed invoices agree to pay all invoiced amounts according to the net terms specified in their billing profile. Late payments may accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law. Help.Fast reserves the right to suspend sponsor billing privileges, place accounts on credit hold, or pursue collection for delinquent accounts.

8.5 Taxes

You are responsible for all applicable taxes, duties, and governmental assessments arising from your use of the Services, except for taxes based on Help.Fast's net income. Help.Fast may collect and remit sales tax where required by law.

8.6 Chargebacks and Disputes

In the event of a chargeback or payment dispute initiated by a Caller or payment method holder, Help.Fast may debit the disputed amount from Provider remittances, place funds in reserve, or offset the amount against future payouts. Help.Fast will make reasonable efforts to provide documentation to assist in responding to disputes but does not guarantee any particular outcome.

9. Intellectual Property

9.1 Help.Fast Ownership

The Platform, including all software, designs, text, graphics, interfaces, code, algorithms, models, data structures, documentation, trademarks, trade dress, and all other intellectual property embodied therein, is and remains the exclusive property of Help.Fast and its licensors. These Terms grant you no ownership interest in or to the Platform. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely in accordance with these Terms.

9.2 User Content License

You retain ownership of any Content you submit to the Platform. By submitting Content, you grant Help.Fast a worldwide, royalty-free, sublicensable, transferable, perpetual, and irrevocable license to use, reproduce, modify, process, store, transmit, display, and distribute such Content solely for the purposes of operating, improving, and providing the Services, including but not limited to training and improving AI models, analyzing platform performance, generating aggregated and de-identified analytics, and fulfilling legal or regulatory obligations. This license survives termination of your account.

9.3 Feedback

If you provide Help.Fast with any suggestions, ideas, enhancement requests, recommendations, feedback, or other input regarding the Platform or Services ("Feedback"), you hereby assign to Help.Fast all right, title, and interest in and to such Feedback. Help.Fast shall be free to use, disclose, reproduce, license, distribute, and otherwise exploit Feedback in any manner, without obligation, restriction, or compensation to you. To the extent such assignment is not effective under applicable law, you grant Help.Fast a perpetual, irrevocable, worldwide, royalty-free, sublicensable, transferable license to use and exploit such Feedback for any purpose.

9.4 DMCA and Copyright Claims

If you believe that any Content on the Platform infringes your copyright, you may submit a notice of claimed infringement to our designated agent at legal@help.fast. Your notice must include: (a) a physical or electronic signature of the copyright owner or authorized agent; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the allegedly infringing material and its location on the Platform; (d) your contact information; (e) a statement of good faith belief that the use is not authorized; and (f) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner. Help.Fast reserves the right to remove allegedly infringing Content and to terminate accounts of repeat infringers.

10. Confidentiality

Each party agrees to hold in confidence all non-public information disclosed by the other party that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed by the receiving party without reference to the disclosing party's Confidential Information; or (d) is rightfully obtained from a third party without restriction.

11. Data Ownership and Processing

As between you and Help.Fast, you own your User data. Help.Fast processes your data as necessary to provide the Services. Help.Fast may use aggregated, de-identified, or anonymized data derived from your use of the Platform for any lawful purpose, including analytics, benchmarking, product development, and machine learning model improvement, provided that such data cannot reasonably be used to identify you or any individual.

12. Third-Party Services

The Platform integrates with third-party services including, but not limited to, Stripe (payment processing), Twilio (telephony and messaging), Clerk (authentication), OpenAI (AI processing), Neon (database hosting), Vercel (web hosting), Sentry (monitoring), and Amazon Web Services (storage). Your use of the Platform may be subject to additional terms and conditions imposed by these third-party service providers. Help.Fast is not responsible for the availability, accuracy, security, or performance of any third-party service, and makes no representations or warranties regarding third-party services.

13. Provider Obligations and Representations

If you are a Provider, you represent, warrant, and agree that:

  • You hold all licenses, permits, certifications, and insurance required by applicable law to perform the services you offer through the Platform, and you will maintain such credentials in good standing throughout your use of the Platform.
  • You are solely responsible for the quality, safety, legality, and timeliness of all service work performed by you or your personnel in connection with any Job.
  • You will comply with all applicable labor, employment, occupational safety, environmental, and consumer protection laws.
  • You will not misrepresent your qualifications, availability, response times, service areas, or pricing on the Platform.
  • You are solely responsible for your personnel, including hiring, background checks, training, supervision, compensation, and termination.
  • Help.Fast is not your employer, franchisor, joint venturer, or partner, and no employment, agency, or fiduciary relationship is created by these Terms.
  • You will promptly and accurately report job completion, cancellations, and any safety incidents occurring in connection with Jobs dispatched through the Platform.

14. Release Between Users

Help.Fast is not a party to any transaction, agreement, dispute, or interaction between Providers and Callers, between Providers and Client Accounts, or between any other users of the Platform. To the maximum extent permitted by applicable law, you release Help.Fast, its affiliates, officers, directors, employees, and agents from any and all claims, demands, damages, losses, and causes of action (whether known or unknown, suspected or unsuspected, disclosed or undisclosed) arising out of or in any way connected with disputes between you and one or more other users of the Platform or third parties. IF YOU ARE A CALIFORNIA RESIDENT, YOU HEREBY WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH PROVIDES: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY."

15. Assumption of Risk

You acknowledge and agree that the use of the Platform and any service work dispatched, requested, or facilitated through the Platform involves inherent risks, including but not limited to property damage, personal injury, miscommunication, misclassification of urgency, delayed response times, and the actions or omissions of third parties. YOU VOLUNTARILY ASSUME ALL RISKS ASSOCIATED WITH YOUR USE OF THE PLATFORM AND ANY SERVICE INTERACTIONS FACILITATED THROUGH THE PLATFORM, WHETHER KNOWN OR UNKNOWN, AND HELP.FAST SHALL NOT BE LIABLE FOR ANY SUCH RISKS.

16. Beta and Preview Features

Help.Fast may from time to time offer features, tools, integrations, or services that are designated as beta, preview, experimental, early access, or similarly labeled ("Beta Features"). Beta Features are provided "as is" without any warranty of any kind and may be modified, suspended, or discontinued at any time without notice. Help.Fast shall have no liability for any harm, loss, or damage arising from your use of or reliance on Beta Features. Your use of Beta Features is at your sole risk.

17. Service Availability

Help.Fast will use commercially reasonable efforts to maintain Platform availability but does not guarantee uninterrupted, error-free, or secure access. The Platform may be temporarily unavailable due to scheduled maintenance, unscheduled outages, force majeure events, third-party service failures, telecommunications disruptions, cyberattacks, or other causes beyond our reasonable control. HELP.FAST SHALL HAVE NO LIABILITY FOR ANY LOSS, DAMAGE, OR HARM ARISING FROM PLATFORM UNAVAILABILITY OR DOWNTIME, INCLUDING BUT NOT LIMITED TO MISSED CALLS, FAILED DISPATCHES, DELAYED RESPONSES, LOST REVENUE, OR BUSINESS INTERRUPTION.

18. Disclaimer of Warranties

THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HELP.FAST EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, COMPLETENESS, TIMELINESS, AND QUIET ENJOYMENT. HELP.FAST DOES NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS, THAT OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT AI OUTPUTS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY HELP.FAST OR ITS REPRESENTATIVES SHALL CREATE A WARRANTY NOT EXPRESSLY STATED HEREIN.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HELP.FAST, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE PLATFORM, EVEN IF HELP.FAST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HELP.FAST'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO HELP.FAST IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).

THE FOREGOING LIMITATIONS SHALL APPLY REGARDLESS OF THE LEGAL THEORY UPON WHICH THE CLAIM IS BASED, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH OF WARRANTY, OR OTHERWISE, AND EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

20. Indemnification

You agree to defend, indemnify, and hold harmless Help.Fast, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your use of or access to the Platform; (b) your violation of these Terms; (c) your violation of any applicable law, rule, or regulation; (d) your Content or any data you submit to the Platform; (e) any service work performed or not performed by any Provider in connection with a Job; (f) any dispute between you and a Caller, Provider, Client Account, or any third party; (g) your negligence or willful misconduct; or (h) your failure to comply with applicable recording consent, data protection, or privacy laws in connection with your use of the Platform.

21. Dispute Resolution and Binding Arbitration

21.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact Help.Fast at legal@help.fast and attempt to resolve the dispute informally for at least sixty (60) days.

21.2 Binding Arbitration

IF THE DISPUTE IS NOT RESOLVED INFORMALLY, YOU AND HELP.FAST AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, OR THE RELATIONSHIP BETWEEN YOU AND HELP.FAST SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") UNDER ITS COMMERCIAL ARBITRATION RULES. The arbitration shall be conducted by a single arbitrator in the English language in the State of Delaware, United States. The arbitrator shall have exclusive authority to resolve all disputes, including the scope and enforceability of this arbitration provision. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

21.3 Class Action Waiver

YOU AND HELP.FAST AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR CONSOLIDATED ACTION. THE ARBITRATOR SHALL NOT CONSOLIDATE MORE THAN ONE PARTY'S CLAIMS AND SHALL NOT PRESIDE OVER ANY FORM OF CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

21.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

22. Statute of Limitations

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE, OR BE FOREVER BARRED. This limitation applies regardless of the legal theory under which the claim is brought.

23. Export Compliance

You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to United States trade sanctions or embargoes, and that you are not on any United States government restricted parties list, including the Treasury Department's list of Specially Designated Nationals or the Commerce Department's Entity List. You agree not to export, re-export, or transfer the Platform or any technical data received through the Platform in violation of applicable export control laws and regulations.

24. Termination

Help.Fast may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination: (a) your right to access and use the Platform ceases immediately; (b) any outstanding fees become immediately due and payable; (c) Help.Fast may retain your data as necessary to comply with legal obligations, resolve disputes, and enforce agreements; and (d) provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 9, 10, 11, 13, 14, 15, 18, 19, 20, 21, 22, 25, 26, 27, and 28.

You may terminate your account at any time by contacting Help.Fast. Termination does not relieve you of any obligation to pay outstanding fees or of any liability arising prior to termination.

25. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. To the extent that litigation is permitted under these Terms, you consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Delaware.

26. Modifications

Help.Fast reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform with a revised "Last updated" date and, where practicable, by email or in-product notification. Your continued use of the Services after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.

27. General Provisions

27.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable plan or subscription agreement, constitute the entire agreement between you and Help.Fast with respect to the subject matter hereof and supersede all prior or contemporaneous communications, understandings, and agreements, whether oral or written.

27.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

27.3 Waiver

The failure of Help.Fast to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Help.Fast.

27.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of Help.Fast. Help.Fast may assign these Terms freely, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.

27.5 Force Majeure

Help.Fast shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, government actions, telecommunications failures, power outages, cyberattacks, third-party service outages, or labor disputes.

27.6 Notices

Notices to Help.Fast must be sent to legal@help.fast. Notices to you will be sent to the email address associated with your account. Notice is deemed given when sent by email.

27.7 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms.

27.8 Headings

The headings used in these Terms are for convenience only and shall not affect the interpretation of any provision.

27.9 Relationship of the Parties

Nothing in these Terms shall be construed to create a partnership, joint venture, agency, employment, or fiduciary relationship between you and Help.Fast. Neither party has authority to bind the other or to incur obligations on behalf of the other.

27.10 Subcontracting

Help.Fast may use subcontractors and third-party service providers to perform any of its obligations under these Terms without your consent. Help.Fast remains responsible for the performance of its obligations hereunder.

28. Compliance with Laws

You are solely responsible for ensuring that your use of the Platform complies with all applicable local, state, national, and international laws and regulations, including but not limited to laws governing call recording and consent (including two-party consent jurisdictions), data protection and privacy, consumer protection, telemarketing, anti-spam, employment, licensing, and tax obligations. Help.Fast provides configurable compliance tools but does not guarantee that your use of the Platform will satisfy your legal obligations.
